Purposes and intents of this proposal:
1) There's no reason to define the Board of Directors within the kingdom's corpora, and then again to redefine it within the BoD's bylaws. It makes much more sense to have one document for in-game procedures, and another for out-of-game procedures.
2) This will give power to the BoD bylaws to become a centralized document where all powers/rules/procedures/etc for the Board of Directors can exist, without having to read both the BoD bylaws as well as the corpora.
3) This removes the risk of conflicts between what the corpora defines the BoD as, compared to what the BoD bylaws define.
4) To speak about removing the automatic seats from Monarch and PM/chancellor, I frankly don't see a reason for this to exist. There doesn't seem to be a reason as to why a in-game monarch and/or in-game record keeper need to be thrown legal responsibilities just because they want to run for in-game leadership positions. Speaking from experience as both a prior kingdom PM and ducal monarch, I am neither an accountant nor a lawyer, and have no interest in doing these. I feel that this speaks to most people, in which the seats of the board of directors are better left to those who are actually interested in being on a Non-Profit Organization's legal governing body, rather than just be required to serve on it due to in-game reasons or goals.
